Machi Pass Rules

1. The Machi Pass Rules (Hereinafter referred to as "this Code") refer to, among various services provided by Mitsubishi Estate Co., Ltd. (Hereinafter referred to as "our company") or by companies in partnership with our company, those designated by our company "Services". Please note that the current scope of this service is:Page specified by our company (Hereinafter referred to as "user") and ID holders (As defined in the following article).
2. The contents of these Terms may be changed as necessary without prior notice to the ID holder, so please check the latest Terms posted on this service when using this service.
3. If the Identity Holder uses the Services after our company has made changes to the Terms pursuant to the preceding paragraph, the Identity Holder shall be deemed to have accepted the changes to the Terms.
4. If there are any notices that our company posts on the Service (Hereinafter referred to as "Notes, etc."), such notices shall form a part of the Terms.
5. If any terms of service exist for any of the Services individually (Hereinafter referred to as "individual service agreements"), these terms of service shall apply to such individual service agreements, unless otherwise specified or otherwise inconsistent with their nature, either directly or after appropriate rereading, and if each individual service agreements specifies anything different from these terms of service, such individual service agreements shall prevail.

1. Identity Holder (Hereinafter referred to as "ID holder") means a person who has registered the necessary information specified by our company on this Service and has been approved by our company to use our company's own identity (Hereinafter referred to as "Machi Pass") (Procedures from the registration of information to the approval are referred to as "ID Registration" below.). After the ID registration, the ID holder can use the service for ID holder (Hereinafter referred to as "Target Services") in this service.
2. You agree to the terms of this agreement when you register your ID. Manifestation of intention not to agree to these Terms shall be permitted only by not registering your ID.
3. When registering your ID, please observe the following conditions.
   (1) Please register real and accurate data about yourself in the registration field of the ID holder registration page on this service when registering your ID. We do not allow registration by proxy.
   (2) When registering your e-mail address at the time of ID registration, please register your own e-mail address. You are not allowed to register using someone else's e-mail address. If an e-mail address is shared by more than one person, such as a company, school, or family member, ID registration using the e-mail address shall be permitted only if the ID holder is permitted to register using the e-mail address by the consensus of the co-owner. However, even in this case, the use of the Target Services shall be limited to the subscriber himself/herself.
   (3) If there is a change in the registered information in (1), the ID holder should immediately change the registered information.
   (4) In principle, registration and/or possession of multiple Machi Passs by a single user is not permitted.
4. When using the Target Service, the ID Holder shall register the e-mail address and password registered at the time of ID registration, and our company shall deem any act performed using the e-mail address and password to be performed by the ID Holder whose e-mail address and password match those registered with our company. Even if they are stolen and used, or if they are used illegally, the identity holder corresponding to the ID registration information of the e-mail address and password shall bear the responsibility for the act unless our company is intentionally or grossly negligent.
5. In the following cases, our company may take necessary measures (Including, but not limited to, legal action) without prior notice to the ID holder, such as discontinuing use, termination, deletion of the registered ID, deletion of the registration of the e-mail address, disqualification of the ID holder, and claim for damages of all or part of the Target Services for the ID holder. Our company shall not be held liable for any damage or disadvantage that may arise to the ID holder as a result of such handling.
   (1) The case where the ID holder has not used (logged in) the Machi Pass in the last 3 years and various communications by e-mail from our company cannot be sent due to an error or the received e-mail settings are all set to "refuse to accept"
   (2) In the case that our company determines that the ID Holder violates these Terms or the individual service agreements or Notes, etc. presented when using the Services (hereinafter collectively referred to as "Terms of Service, etc."), or in the event that our company determines that such violation is likely to occur.
   (3) In the event that the ID holder commits an act deemed inappropriate by our company in the operation of the Target Service
6. The ID holder confirms that the service (including Target Services and services based on individual terms of service) cannot be used if the Machi Pass expires for any reason such as deletion.
7. When using the Service, the ID holder shall confirm and agree to the terms of use of the service before using the service.

When using the Target Services, the ID Holder shall not engage in any of the following acts or acts that our company determines may fall under any of the following.

1. Acts that infringe copyrights, portrait rights, or other intellectual property rights of other users or third parties
2. Acts that infringe on the property, privacy, etc. of other users or third parties
3. Slander or defamation against other users or third parties, annoying acts, or acts that cause discomfort against other users
4. Unauthorized access to a computer, such as our company server, or sending or writing harmful computer programs or e-mail messages
5. Use of the Services for commercial purposes
6. The act that leads to criminal behavior
7. The act of using information obtained through the Target Services for reproduction, sale, publication, or beyond the private use
8. Any act which interferes with the operation of the Services or undermines the confidence of our company or its business partners
9. Acts of conducting business activities or information provision activities for the purpose of profit
10. Intentionally perturbing our company or its partners with false information or threats by using Target Services
11. Non-payment of cancellation fee or usage fee to our company, posting facility of violent act, nuisance act to our company or third party
12. Other acts that violate or are likely to violate laws, public order and morals or these Terms.
13. An act of interfering with a Target Services, advertisements distributed by our company, or a Target Services or advertisements provided on our company's site
14. The act of collecting or accumulating the personal information, history information, and characteristic information of other users without the consent of the customer
15. The act of using the Target Services for a purpose different from the original purpose of providing the Target Services in consideration of the purpose of the provision
16. Act of using the Target Services by using the Machi Pass of another user
17. The act of obtaining the Machi Pass and password from others by any means, or disclosing or providing the Machi Pass and password to others
18. The act of providing benefits directly or indirectly to antisocial forces in connection with a Target Service

Our company makes every effort to deliver reliable services and information to the ID holder in the Target Services, but we do not guarantee the following items at all. When using the Target Services, the ID holder himself/herself should judge the Target Services and the information provided in the Target Services and the usefulness of the services, etc. and use them at his/her own responsibility.

1. Usability, suitability, completeness, accuracy, safety, legality, update, etc., of all information provided on the Target Services (The same shall apply hereinafter, including all information, etc., contained in the link site managed or operated by a third party as the Target Service and displayed on the target service)
2. In cases where the ID holder negotiates or makes a reservation with a third party or applies for or concludes a contract, etc. by using the information provided on the Target Services, all matters concerning such acts.
3. The Target Services and the goods, services, information, etc. available through the Target Services must be appropriate to meet the wishes or expectations of the ID Holder
4. No defects, errors or failures occur in the delivery of the Target Services.
5. E-mail, web content, etc. transmitted in relation to the Target Services shall not contain harmful substances such as computer viruses.
6. The existence or identity of the Target Services is maintained

1. Our company assumes no responsibility or liability for any damages (This includes, but is not limited to, mental distress or other financial loss incurred by the identity holder or a third party.) arising out of the use (including but not limited to the items of this section) or inability to use the Covered Services of the Identity Holder, in the absence of willful or gross negligence on our company's part. Even if our company is liable, our company's liability shall be limited to direct and ordinary damages.
2. Damage caused to the ID holder due to acts such as downloading of content provided by a third party through the Target Service and access to a link site managed or operated by a third party
3. Damage to the ID Holder resulting from unauthorized alteration of the Target Service, unauthorized access to data relating to the Target Service, incorporation of computer viruses, and other unauthorized activities that occurred despite our company's reasonable security measures
4. Damage caused by interruption, delay, suspension, loss of data, or unauthorized access to a system or service due to a failure of communication lines or computers, etc.
5. In the case that our company or a third party suffers damages as a result of an act that violates the Identity Holder's Terms of Service, etc., the Identity Holder shall compensate for all such damages at its own responsibility and expense.

1. Our company respects the privacy of ID holders and will exercise extreme care in the management of their personal information. In the management and operation of the applicable service, personal information acquired by our company from the ID holder shall be subject to separate regulations. Privacy Policy.
2. Our company may retain and continue to use the personal information of the ID Holder even if the ID Holder suspends the use of the Target Service or withdraws from the membership system of the Target Service (For whatever reason), unless the ID Holder deletes the Machi Pass in accordance with the procedures separately prescribed by our company,, and the ID Holder shall consent to this in advance.

1. The ID holder consents in advance that our company acquires the attribute information such as age, gender, occupation, residence area, etc. provided by the ID holder through the use of the Target Services and the behavior history of the ID holder in the target service, use them in the range necessary for the provision of the Target Service and use the statistical data created based on the attribute information or the action history without any limitation regardless of the validity period of this contract. Our company shall not disclose personally identifiable information to third parties unless required by law or with the consent of the the ID holder .
2. If the ID Holder logs in to and uses the Target Services using the Machi Pass, our company may, after identifying the individual, distribute and display advertisements, etc. and provide the Service using the attribute information and action history (no matter if the information was obtained before or after you agreed to these terms.) acquired so far, and the ID Holder agrees to this in advance.

1. Our company may change, suspend or terminate all or any part of the Target Services without prior notice to the ID Holder. However, if our company terminates all Target services, the Identity Holder shall be notified in the manner prescribed by our company no later than one month prior to the termination date.
2. Our company shall not be liable for any loss or damage incurred by the ID Holder due to any change, interruption or termination of the Services in whole or in part.

The ID holder shall continue to demonstrate that he or she is not an anti-social force (The term "organized crime group" refers to organized crime groups, organized crime group members, persons for whom five years have not passed since they ceased to be organized crime group members, organized crime group associate members, companies related to organized crime groups, corporate racketeers, etc., groups that claim to be involved in social activities, special intelligence violence groups, etc., and other persons equivalent thereto.) and that he or she will not commit illegal acts such as violent acts, fraudulent acts, intimidation acts, and obstruction of business. In the event of a violation of such representations, we will accept the suspension or termination of the Machi Pass and the applicable services without objection.

The ID Holder shall not transfer or mortgage his/her status as ID Holder with respect to the Services and the rights and obligations arising therefrom to any third party except with the prior consent of our company.

If any provision of these Terms is found to be contrary to the relevant laws and regulations applicable to any agreement under these Terms with the ID Holder, such provision shall not apply to any agreement with such ID Holder to that extent. However, this does not affect the validity of other provisions of these Terms.

These Terms shall be construed under Japanese law, and the Tokyo District Court or the Tokyo Summary Court shall be the exclusive agreement jurisdictional court of first instance for any dispute relating to these Terms.
